By accessing or using Sunny Perch, you agree to be bound by these Terms of Service. If you do not agree, do not use the service. These terms apply to all users, including individuals and organizations.
Sunny Perch is a cloud-based invoicing and financial management platform for freelancers and small businesses. Features include invoice creation and delivery, client management, income and expense tracking, and payment collection via Stripe. We reserve the right to modify or discontinue features at any time.
You must create an account to use Sunny Perch. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must provide accurate and complete information when registering and keep it up to date. You must be at least 18 years old to create an account.
Paid plans are billed on a recurring monthly or annual basis. All payments are processed by Stripe. By providing a payment method, you authorize us to charge the applicable subscription fee on each renewal date.
Subscriptions renew automatically unless you cancel before the renewal date. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain access until then.
We do not provide refunds for partial billing periods. If you believe you have been charged in error, contact us within 30 days at info@nexinq.com.
You agree not to use Sunny Perch for any unlawful purpose or in any way that violates these terms. Prohibited activities include: sending fraudulent invoices, impersonating another person or entity, attempting to gain unauthorized access to any part of the service, or using the service to transmit spam or malware.
Sunny Perch and its original content, features, and functionality are owned by Sunny Perch and are protected by applicable intellectual property laws. You retain ownership of all data and content you upload to the service. By uploading content, you grant us a limited license to store and process it solely for the purpose of providing the service to you.
To the maximum extent permitted by law, Sunny Perch shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service. Our total liability to you for any claim arising out of these terms shall not exceed the amounts you paid us in the twelve months preceding the claim. The service is provided "as is" without warranties of any kind.
We may suspend or terminate your account at any time for violation of these terms, fraudulent activity, or for any other reason with reasonable notice. Upon termination, your right to use the service ceases immediately. You may export your data before termination; we will retain it for 90 days afterward before deletion.
These terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved exclusively in the courts located in Delaware.
We may update these Terms of Service from time to time. When we do, we will revise the effective date at the top of this page and, for material changes, notify you by email. Continued use of Sunny Perch after changes take effect constitutes acceptance of the updated terms.
